Services · Ongoing counsel

Shared general counsel for businesses that need legal support without an in-house lawyer.

Most closely-held businesses don’t need a full-time lawyer. They do need someone who knows the business, is reachable when something comes up, and can handle the legal questions that arrive every week without warning. Bolton Group provides that role on a shared basis — a monthly retainer that covers ordinary-course matters, with major transactions billed separately.

How it works

Engagements typically start with an informal 30-minute conversation about the business, what’s on the horizon, and what kind of legal support actually fits. From there, we propose a monthly retainer scoped to the volume of work the business is likely to need. The retainer covers what a general counsel would typically handle in the course of doing the job:

Contracts and commercial agreements Drafting, reviewing, negotiating
Employment matters Agreements, policies, terminations, disputes
Corporate governance Board materials, consents, entity maintenance
Vendor and customer issues As they arise
Day-to-day legal questions As they come up

Major matters that fall outside the ordinary course — a significant acquisition, a major credit facility, a complex litigation matter routed to specialist counsel — are scoped and billed separately so the retainer stays predictable.

What it costs

Retainers vary by the size and complexity of the business, with adjustments based on actual volume after the first quarter. We propose retainer levels based on the work the business is likely to need, not on a standard package.

What you get

A lawyer who knows your business well enough to give useful advice on the first call. Predictable monthly cost rather than billing surprises. The depth of an experienced corporate practice without the overhead of a large firm.
